TERMS AND CONDITIONS

Effective Date: 01/05/2026

These Terms and Conditions ("Terms") govern the contractual relationship between Pebble & Nest Ltd, company number 16437853, whose registered office is at 36 Scotts Road, Bromley, England, BR1 3QD ("P&N"), and the individual named in the Membership Sign-Up Form ("Member"). These Terms, together with the Membership Sign-Up Form and the Club Rules (collectively, the "Contract"), set out the rights and obligations of the parties. In the event of conflict, precedence shall be given in the order listed above.

Welcome to Pebble & Nest Ltd ("P&N"), a one-of-a-kind family members' club offering an interactive play and learning environment. These Terms and Conditions ("Terms") govern the relationship between P&N and you, the parent or legal guardian, regarding your Membership and your child(ren)'s access to the Club.

1. MEMBERSHIP

1.1 The Member acknowledges that P&N is a private family club providing access to an interactive play and learning environment (the "Club") at 77 Atlantic Court, 2nd and 3rd Floors.

1.2 Membership is held in the name of an adult but entitles the named child ("Child Member") to access the Club. A separate Membership is required for each Child Member.

1.3 Membership is subject to availability, eligibility criteria, and purchase limitations at P&N’s discretion.

For legal reasons, Memberships are in the adult’s name, but the benefits apply to the named child. One child = one Membership.​

​2. DEFINITIONS

Capitalised terms used herein are defined in the glossary at the end of these Terms.

3. RIGHT TO CANCEL

3.1 The Member has a statutory right to cancel the Contract within 14 days of commencement by notifying P&N in writing provided the Member has not used any services during this period.

3.2 To cancel, the Member must email: hello@pebbleandnest.co.uk.

4. COMMENCEMENT AND TERM

4.1 The Contract begins on the Start Date specified in the Membership Sign-Up Form.

4.2 Quarterly and Annual Memberships are both prepaid fixed-term contracts. Once purchased, neither Quarterly nor Annual Memberships are cancellable during their respective contract terms, and no refunds will be issued for early termination unless an exception is granted at P&N’s discretion. Both Membership types will automatically renew at the end of each term unless cancelled by email in accordance with the applicable notice period. Quarterly Memberships require one (1) month’s written notice to prevent auto-renewal, and Annual Memberships require three (3) months’ written notice.

P&N may from time to time offer alternative membership formats, including fixed-term or short-term memberships with specific usage limits, class allowances, purchase conditions, or duration.

Such memberships may include non-renewing memberships of a fixed duration (for example, one-month memberships) which do not automatically roll over and may be subject to restrictions on purchase frequency, including limitations preventing consecutive or continuous purchase periods.

Details of such memberships, including any restrictions on renewal or repurchase, will be communicated at the time of purchase and form part of the Contract.

4.3 Payment methods include: Full upfront payment via Direct Debit or Credit/Debit Card.

4.4 Cancellation of a Direct Debit does not constitute cancellation of Membership.

4.5 Upgrades and downgrades may only be made at the end of a current billing cycle (quarterly or annual). To change tiers, the existing membership will be cancelled and a new membership started at the upgraded or downgraded tier. In cases where the membership is cancelled solely to change tiers, the joining fee will be waived. If a Member cancels and later rejoins, the joining fee will apply again. 

4.6 Membership Freezes
P&N may, at its discretion, allow Members to temporarily freeze their Membership subject to the following conditions:

  • Annual Memberships are eligible for complimentary freeze periods, subject to prior written request and approval by P&N.

  • Quarterly Memberships may be frozen at a fee of £20 per month.

During any freeze period, access to the Club and all Membership benefits will be suspended. The Membership term will be extended by the duration of the approved freeze period.

 

Freeze requests must be submitted in advance and are subject to approval. P&N reserves the right to refuse or limit freeze requests.

 

5. SERVICES

5.1 P&N shall provide access to the Club and access to Classes during Opening Hours, with availability based on Membership tier. Certain Membership formats may exclude specific benefits, privileges, or purchasing options that apply to standard Membership tiers, as specified at the point of purchase.

5.2 P&N retains the right to decline Membership applications.

5.3 P&N shall exercise reasonable care and skill in the delivery of Services, ensure DBS checks for Staff, and comply with applicable regulations.

5.4 No medical services are provided.

5.5 Members are advised not to bring valuables. P&N is not liable for loss or damage.

5.6 Wi-Fi is provided for lawful use only.

5.7 Attendance is prohibited if the Member or accompanying persons are unwell.

5.8 P&N does not warrant that any of its Staff will be registered with a professional body (unless they are required to register under any applicable law or regulation). For the avoidance of doubt, no Staff will, in the course of the provision of the Services, be acting in the capacity of a medical practitioner undertaking the practice of medicine or otherwise providing medical advice for which a General Medical Council licence to practice is required.

5.9 Members (including their spouse, children, nannies, and childminders) must not attend the Club if unwell (including testing positive for Covid or being in any period of enforced or recommended isolation) and must leave immediately if they become unwell whilst at the Club.

5.10 Memberships include access to a limited number of complimentary classes each month, with the number depending on the membership tier. The selection of complimentary classes is subject to change, and we will notify Members in advance by email of any updates to the class schedule or included options. Complimentary classes are issued on a monthly basis and must be used within the same calendar month. They do not roll over or accumulate; any unused classes will expire at the end of the month.

Certain membership formats may include a defined number of classes within a fixed period and may restrict guest privileges or access frequency. Details of each membership format are set out in the Membership Booklet or at the point of purchase.

Additional Classes:

  • Single Add-On Classes: Available only to Members, with pricing varying by membership tier.

  • 10-Class Packs: Available to Members and Non-Members, valid for 3 months from purchase, and usable across all classes.

  • Booking is subject to availability, and class packs are non-refundable once purchased

  • If a class purchased as part of a pack is cancelled by P&N, the Member or Non-Member may reschedule or receive a refund for the cancelled class.

6. DELAYS AND FORCE MAJEURE

6.1 If Services are delayed by a Force Majeure Event, P&N shall notify the Member. If the delay exceeds one month, the Member may terminate with immediate effect and receive a pro-rata refund.

7. MEMBER OBLIGATIONS

7.1 Members must: (a) Sign in at the reception upon each visit; (b) Comply with Club Rules; (c) Provide accurate information, including medical or allergy disclosures; (d) Not bring external food except for baby formula; (e) Supervise children under 7 at all times.

7.2 Authorised Adults must: (a) be named in the Sign-Up Form; (b) accompany Child Members as required; (c) ensure prompt collection from Classes attended by their Child Member; (d) remain on-site during Club use.

7.3 Members accept responsibility for supervision unless Services are being provided.

7.4 Be respectful of P&N’s neighbours when entering and leaving the Club, including (but not limited to) entering and leaving the Club quietly, keeping children under control at all times, and not causing congestion by waiting or having someone wait in a car in the vicinity of the Club; 

7.5 P&N reserves the right to host birthday parties for both Child Members and Non-Members under the age of 8 years within the Club.

7.6 The Member authorises P&N staff to administer first aid and to arrange for the provision of emergency medical treatment (including ambulance transport) if deemed necessary. The Member accepts full responsibility for any resulting costs.

7.7 Conduct, Respect & Non-Discrimination
Pebble & Nest is a respectful, inclusive, and child-focused environment. All Members, Child Members, and accompanying persons are required to behave in a manner that upholds these values at all times. P&N operates a strict zero-tolerance policy towards any behaviour that is abusive, aggressive, threatening, or discriminatory. This includes, but is not limited to, any conduct, language, or actions directed towards staff, Members, guests, or third parties that relate to or target:

  • race

  • ethnicity or nationality

  • religion or belief

  • gender or gender identity

  • sexual orientation

  • disability

  • or any other protected or personal characteristic

Any breach of this clause may result in immediate suspension or termination of Membership without refund.

7.8 Religious & Group Activities Restriction

The Club is a neutral, shared environment designed for play, learning, and family interaction. To ensure a consistent and inclusive experience for all Members, the use of the Club for organised religious practices, ceremonies, or rituals of any kind is not permitted within the premises.

8. INTELLECTUAL PROPERTY

8.1 All intellectual property rights in the Club and Services remain the property of P&N.

8.2 Photography and filming may occur. By entering the Club, you acknowledge that you have been informed that you may be filmed, photographed, and recorded at the Club. You agree to grant P&N the right to film, photograph, and record you and use your likeness and voice without compensation, credit, or other consideration in the production and exploitation of the Club. If you do not wish to be photographed, recorded, or appear under these conditions, you should leave the Club immediately. 

9. FEES AND PAYMENT

9.1 Membership Fees are payable in advance of the Start Date or the anniversary of the Start Date (as applicable), with the first instalment to be paid on or before the Start Date or the anniversary of the Start Date (as applicable). Membership Fees are based on the Membership package you select and the payment terms. The Membership Fee is inclusive of VAT.

9.2 Failure to pay entitles P&N to: (a) Charge interest at 4% above BoE base rate; (b) Suspend Services; (c) Deduct amounts via stored payment methods.

9.3 Joining fees are generally non-refundable unless otherwise stated as part of a specific offer or promotion. Any exceptions will be clearly communicated at the time of purchase.

9.4 Fee increases require 30 days' written notice.

9.5 Class packages must be used within 3 months of purchase and are non-refundable once partially used.

9.6 All amounts due under the Contract from the Member to P&N shall be paid in full without any set-off, counterclaim, deduction or withholding (other than any deduction or withholding of tax as required by law).

10. MEMBER TERMINATION

10.1 Members may terminate: (a) Within the 14-day cooling-off period; (b) With one (1) month’s notice for quarterly subscriptions and three (3) months’ notice for annual subscriptions; (c) If Services are delayed for more than 1 month; (d) For unremedied material breach by P&N.

10.2 Annual Members may not terminate mid-term unless under clause 10.1.

10.3 P&N reserves the right to suspend or terminate Membership without refund if the Member, Child Member, or accompanying persons engage in conduct deemed unsafe, disruptive, abusive, discriminatory, or detrimental to the welfare, safety, or experience of other Members, guests, or staff.

11. TERMINATION BY P&N

11.1 P&N may terminate with immediate effect if: (a) Payment is overdue >7 days; (b) There is a serious or repeated breach of the Terms; (c) There is misconduct by the Member or related parties.

11.2 No refunds are issued following termination under this clause.

12. POST-TERMINATION

12.1 Upon termination: (a) Membership privileges cease; (b) Outstanding fees become payable; (c) Relevant clauses survive termination.

13. NON-SOLICITATION

13.1 Members may not directly or indirectly solicit, engage, or hire P&N Staff.

14. LIABILITY

14.1 The Member acknowledges that participation in play activities, use of the facilities, and attendance at Classes involve inherent risks of minor injury, bumps, scrapes, falls, or other incidents common to children’s play and group activities. By entering into this Contract, the Member voluntarily assumes all such risks on behalf of themselves, their Child Member, and any accompanying persons.  To the fullest extent permitted by law, P&N shall not be liable for any injury, loss, or damage arising from participation in activities or use of the facilities, except where such injury, loss, or damage is caused directly by P&N’s gross negligence or wilful misconduct. Authorised Adults signing this agreement accept full responsibility for supervising their children at all times. Nothing in this Contract excludes or limits liability for death or personal injury caused by negligence, fraud, or any liability which cannot be excluded by law.

14.2 Some classes and activities are delivered by independent operators. The Member acknowledges that P&N is not responsible for the acts or omissions of such operators, who remain independently liable. 

14.3 P&N is not liable for indirect or consequential loss.

14.4 P&N’s total liability to the Member, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, arising under or in connection with this Contract shall be limited to the Membership Fee paid in the 12 months before the relevant breach by the Member under this Contract.

14.5 Lost property will be logged and stored in the designated lost property area at reception. Items must be claimed within 15 days, after which they will be donated to charity, except for high-value items such as jewellery, which will be kept for up to one month. For hygiene reasons, dummies will not be retained.

14.6 P&N operates a shared play and café environment and cannot guarantee an allergen-free space. The Member is responsible for informing P&N of any allergies or medical conditions. P&N accepts no liability for allergic reactions unless caused by its gross negligence.

15. BIRTHDAY BOOKINGS & EVENTS

15.1 Agreement & Acceptance

By proceeding with a birthday booking at Pebble & Nest, including the payment of any deposit, the individual making the booking (the “Host”), whether a Member or Non-Member, confirms that they have read, understood, and agree to comply with this Section, the Club Rules, and all applicable provisions of these Terms.

The Host is responsible for ensuring that all guests comply with these Terms at all times.

Where the Host is not a Member, these Terms shall apply to the booking as a standalone contractual agreement.

15.2 Event Structure & Format

To ensure a smooth and consistent experience, all birthday events follow a structured format:

  • Total duration: 2 hours

  • Maximum of 1 hour 30 minutes allocated to play

  • Events begin in the 3rd floor play area

  • Pebble & Nest defines and manages all party boundaries across the premises

Where entertainment is included:

  • It must take place strictly within the designated class studio

  • External entertainers must be approved in advance

  • Entertainment forms part of the total booking duration and may reduce play time

Pebble & Nest reserves the right to allocate, adjust, and manage space, setup, and seating arrangements at its discretion.

15.3 Shared Environment & Use of Space

Pebble & Nest operates as a shared members’ club unless explicitly agreed in writing as a private hire.

  • Members retain full access to all areas of the Club at all times

  • Certain spaces may be temporarily designated for exclusive birthday use (such as the class studio where applicable)

  • Party guests must remain strictly within designated party areas at all times

The Host and all guests must respect the shared nature of the Club and the presence, safety, and experience of Members.

These obligations apply equally to Member and Non-Member Hosts.

15.4 Booking & Payment Terms

  • A non-refundable deposit of 50% of the base package is required to confirm the booking

  • A refundable damage deposit of £250 is required

  • The remaining balance must be paid no later than 10 days prior to the event

Payment of the deposit constitutes full and binding acceptance of these Terms.

15.5 Damage Deposit & Additional Charges

The damage deposit may be used to cover, including but not limited to:

  • Damage to premises, furniture, fixtures, toys, or equipment

  • Failure to vacate the space within the allocated time

  • Use of non-designated areas

  • Unauthorised movement or alteration of furniture or setup

  • Breach of staff instructions, Club Rules, or these Terms

  • Disruption to Members, events, or normal Club operations

  • Any compensation, refunds, or goodwill gestures provided to Members as a result of disruption, inconvenience, or failure by the Host or their guests to comply with these Terms, Club Rules, or staff instructions

Additional time used beyond the booking will incur a charge of £100 per 15 minutes, deducted from the damage deposit.

Pebble & Nest reserves full discretion in assessing and applying any deductions. All decisions regarding deductions are final.

Any remaining balance will be refunded following the event.

15.6 Food & Beverage Policy

  • No external food or beverages are permitted, except for a birthday cake

  • Cake cutting, serving, and removal are the responsibility of the Host

  • All packing and removal of leftovers must be handled by the Host

  • Any food or beverages purchased from the Club must be consumed within the designated party area

15.7 External Entertainment

  • Any external entertainer or supplier must be approved in advance by Pebble & Nest

  • A studio hire fee of £156 will apply to any additional entertainment booking

  • All entertainers must comply with Club Rules and operate strictly within designated areas

15.8 Conduct, Behaviour & Compliance

The Host is responsible for the conduct of all guests.

All guests must behave respectfully towards staff, Members, and other guests at all times and must follow all staff instructions.

Pebble & Nest operates a strict zero-tolerance policy towards:

  • Disruptive, unsafe, or non-compliant behaviour

  • Failure to follow staff instructions

  • Any conduct that impacts the safety, wellbeing, or experience of others

Any breach may result in immediate termination of the event without refund and may lead to removal from the premises.

15.9 Liability & Responsibility

  • All guests attend at their own risk

  • The Host is fully responsible for all guests and any minors attending the event

  • Pebble & Nest is not liable for any lost, stolen, or unattended belongings

  • All guests, whether attending under a Member or Non-Member booking, are subject to the same liability and risk assumptions set out in this Contract

16. COMPLAINTS

16.1 Contact hello@pebbleandnest.co.uk. P&N will respond fairly and promptly.

17. DATA PROTECTION

17.1 Both parties will comply with applicable Data Protection Laws.

17.2 Members confirm they have the legal basis to share any personal data, including for children.

17.3 P&N will process data per its Privacy Policy.

18. GENERAL

18.1 Confidentiality: Each party agrees to keep the other’s confidential information private.

18.2 Assignment: The Member may not assign the Contract without consent.

18.3 Entire Agreement: This Contract supersedes prior agreements.

18.4 Variation: P&N may amend these Terms from time to time by providing reasonable written notice to Members. Continued use of the Club after the effective date constitutes acceptance of the updated Terms.

18.5 Waiver: No waiver is effective unless in writing.

18.6 Severance: Unenforceable provisions will be severed without affecting the remainder.

18.7 Notices: Valid if sent to the relevant email addresses.

18.8 Third Parties: No third-party rights are created.

18.9 Governing Law: England and Wales.

18.10 Jurisdiction: Courts of England and Wales have exclusive jurisdiction.

Glossary

  • "Contract" – The agreement between P&N and the Member or Non-Member, comprising these Terms, the Membership Sign-Up Form, and the Club Rules.

  • "Authorised Adult" – Adults permitted to accompany or collect the Child Member.

  • "Member" or "Members"– The individual named in the Membership Sign-Up Form who enters into the Contract with P&N.

  • "Non-Member" or "Non-Members" – An individual who is not a Member but may access certain services, classes, events, or bookings offered by P&N.

  • "Child Member" – A child entitled to access the Club.

  • "Classes" or "Class" – Classes that may be included with membership depending on the tier, or otherwise available for purchase through prepaid Class packages.

  • "Services" – Access to the Club and related activities as described in the Membership Booklet.

  • "Membership Booklet" – Details of Membership Types and benefits.

  • "Start Date" – As specified in the Membership Sign-Up Form.

  • "Host" – The individual (whether a Member or Non-Member) who makes a booking for a birthday or event at the Club.

  • "Club Rules" – The operational rules and guidelines of Pebble & Nest, as amended from time to time, governing use of the Club.

  • "Opening Hours" – The hours during which the Club is open, as published and updated by P&N.

  • "Staff"  – Employees and authorised representatives of Pebble & Nest, excluding independent third-party operators delivering classes or services.
